1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ChildSafe.dev Inc. ("RoseShield," "Company," "we," "us," or "our"), a corporation incorporated in the State of Florida, with its principal place of business at 333 Sunset Dr, Suite 204, Fort Lauderdale, FL 33301.
By accessing, downloading, installing, or using any RoseShield product, service, mobile application, website, or platform (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.
If you do not agree with any part of these Terms, you must immediately discontinue use of the Services. If you are entering into these Terms on behalf of a business, organization, school, or government entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
RoseShield provides a suite of digital family safety and child wellbeing products and services, including but not limited to:
RoseShield Family — endpoint protection for children's devices with parental controls, content filtering, screen time management, and real-time alerts.
RoseShield Senior Guardian — elder protection software designed to intercept scams, phishing, and tech-support fraud targeting older adults.
RoseShield Network — home network-level protection operating at the router and DNS layer, protecting all devices connected to a household network.
RoseShield Schools — institutional child safety platform designed for K-12 educational environments.
RoseShield Edge AI Router — proprietary hardware appliance providing on-device AI-powered network security.
Telecom & ISP Partner Services — white-label and co-branded family safety services delivered to carriers and internet service providers.
All Services operate on our Proprietary Edge AI architecture, meaning all AI inference is performed locally on the user's device or within the subscriber's network perimeter. No personally identifiable information (PII) is transmitted to our cloud infrastructure for AI processing.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Services.
3. Account Registration
To access certain features of the Services, you must create an account ("Account"). You agree to:
Provide accurate, current, and complete information during registration;
Maintain and promptly update your account information;
Keep your password confidential and not share it with any third party;
Notify us immediately at support@childsafe.dev of any unauthorized use of your account or any other breach of security;
Accept responsibility for all activities that occur under your account.
You must be at least 18 years of age to create an account. Accounts are for individual or authorized organizational use only and may not be transferred without our written consent. We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.
4. Subscriptions & Billing
Subscription Plans. RoseShield offers various subscription plans, including monthly and annual billing options. Pricing, features, and terms for each plan are presented at the point of purchase and on our website. All prices are in United States Dollars (USD) unless otherwise specified.
Automatic Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You authorize us to charge your payment method on file for the applicable subscription fee at the start of each renewal period.
Changes to Pricing. We may change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase. Your continued use of the Services after a price change takes effect constitutes your agreement to the new pricing.
Payment Methods. We accept major credit cards, debit cards, and other payment methods as indicated at checkout. You represent that you are authorized to use the payment method provided.
Taxes. Prices do not include applicable taxes. You are responsible for any sales, use, value-added, or similar taxes imposed by any jurisdiction in connection with your purchase.
Free Trials. If we offer a free trial, we will describe its terms at the time of the offer. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid plan and your payment method will be charged.
Refunds. Please refer to our Refund Policy for information regarding refund eligibility and procedures.
5. License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
This license does not include the right to: (a) resell or commercially exploit the Services; (b) modify, translate, adapt, or create derivative works based upon the Services; (c) reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code of any component of the Services; (d) remove, obscure, or alter any proprietary rights notices; or (e) use the Services in any manner that could damage, disable, overburden, or impair our infrastructure.
6. Prohibited Uses
You agree not to use the Services to:
Violate any applicable local, state, national, or international law or regulation;
Circumvent, bypass, or otherwise interfere with any security, content filtering, or safety features of the Services;
Transmit any unsolicited commercial communications, spam, or harmful code;
Collect or harvest information about other users without their consent;
Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
Engage in any conduct that restricts or inhibits any other user's use or enjoyment of the Services;
Use the Services to monitor, surveil, or collect information about individuals without their knowledge and lawful consent;
Deploy the Services for purposes of unlawful child exploitation, abuse, or any activity that endangers children.
Violation of these prohibitions may result in immediate account termination and may be reported to appropriate law enforcement authorities.
7. Children's Accounts
RoseShield's Services are designed to protect children, not to be used by children independently. Children under the age of 13 may not create accounts. Children aged 13–17 may only use the Services under the direct supervision of a parent or legal guardian who accepts these Terms on their behalf.
If you are a parent or guardian enabling a child's use of the Services, you are fully responsible for the child's compliance with these Terms. You represent that you have legal authority to consent on the child's behalf and that your use of the Services on behalf of your child complies with all applicable laws, including the Children's Online Privacy Protection Act (COPPA).
We are committed to full compliance with COPPA. We do not knowingly collect personal information from children under 13 without verifiable parental consent. If you believe we have inadvertently collected such information, please contact us immediately at privacy@childsafe.dev.
8. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are the exclusive property of ChildSafe.dev Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
"RoseShield," "ChildSafe," the RoseShield shield logo, "Proprietary Edge AI," and "ChildSafe SIM" are trademarks or registered trademarks of ChildSafe.dev Inc. You may not use these marks without our prior written permission.
You retain ownership of any content you submit to the Services. By submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, and process that content solely for the purpose of providing the Services to you.
9. Privacy
Your privacy is fundamental to how we design our products. Our Privacy Policy describes how we collect, use, and protect your personal information and is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.
Our Proprietary Edge AI architecture is specifically designed so that sensitive behavioral and content data never leaves your device or local network. We process what is necessary to operate the Services and nothing more.
10. Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
ROSESHIELD DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
While RoseShield is designed to detect and prevent a wide range of digital threats, no security solution is 100% effective. We do not guarantee the Services will prevent all harmful content, scams, or threats from reaching your devices.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHILDSAFE.DEV INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless ChildSafe.dev Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
13. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.
You may cancel your account at any time through your account settings or by contacting us at support@childsafe.dev. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial subscription periods unless required by applicable law or our Refund Policy.
Provisions of these Terms that by their nature should survive termination shall survive, including Sections 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Dispute Resolution).
14. Dispute Resolution & Governing Law
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Informal Resolution. Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute by contacting us at legal@childsafe.dev. We will use good-faith efforts to resolve the dispute within 30 days.
Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Broward County, Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property rights or imminent harm.
Venue. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page with an updated "Last Updated" date, and where appropriate, by sending you an email notification to the address associated with your account.
Your continued use of the Services after any changes take effect constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services and cancel your account.
